I currently have:

-[PROCESSOR]Intel Core 2 Duo E7400 Processor BX80571E7400 - 2.80GHz, 3MB Cache, 1066MHz FSB, Wolfdale-3M, Dual-Core, Retail, Socket 775
-[RAM]Centon Dual Channel 4096MB PC5400 DDR2 667MHz Memory (2x2048MB)
-[GRAPHICS CARD]EVGA 01G-P3-1371-AR GeForce GTX 460 Video Card - 1024MB GDDR5, PCI-Express 2.0, Dual DVI, Mini HDMI, SLI, DirectX 11, Fermi;

The upgrade will cost $587.96. Is the price decent for the improvements?

Well, I wanna be ready for Crysis 3. And the system requirements are going to run my current specs to their limits most likely.

and GTA5 bro! I'd do it, fosho. I'm pretty sure you can find it cheeper though. Are you buying parts and building it your self or someone does it for ya?

I'd say the price-performance ratio is pretty good for what you're getting. Though, using Patriot's memory finder, this is their best suggested RAM for the motherboard you're looking at getting:

He can't really upgrade the RAM with his current motherboard; to do that he would realistically have to get DDR3, which isn't supported by his current Motherboard.

Oh yeah, missed that part. Thanks for correcting me. 
At OT: I don't see any wrong with your current config....The MB, RAM status, Processor everything looks good...however you can upgrade graphic card.....

I wasn't really wanting to OC my comp. I just want a gaming computer good enough to run the most graphic intesnsive games without turning down the settings while playing. (ex: Crysis 3 & Far Cry 3)

You will be able to, without much effort. The 660 is an awesome card. What about the other parts? HDD, PSU, Case, cooling? You should have adequate case cooling if you want to keep those parts cold.
